The privacy of our users and subscribers is very important to Frendex, LLC (“Frendex”). This policy explains how Frendex collects and uses information through the Frendex social networking service (the “Service”) located at www.frendex.com.
HOW FRENDEX COLLECTS INFORMATION
Our registration process requires you to provide professional contact information, such as your full name, company, title, e-mail address, office address and phone number. We will also receive your payment information, such as a credit card number and expiration date. You must provide this information in order for us to register you as a subscriber of the Service.

This information includes, without limitation, Internet Protocol addresses, browser type, Internet service provider (ISP), referring/exit pages, operating system, date/time stamp and clickstream data.

HOW FRENDEX USES YOUR INFORMATION

INFORMATION FROM CHILDREN

MODIFYING YOUR PERSONAL INFORMATION
If you would like to modify or amend from our database any personal information stored in your profile, or if you would like to amend your profile completely, you can do so by logging into the Service, visiting the “My Account” section, and viewing the options available to you. Within this section, you can edit your information or cancel your subscription. We will endeavor to implement your changes in real time, but in some instances some delay in implementation may occur.
Please note that any personal information that we collect may remain in back-up storage for some period of time after your request. We will also be unable to recover any personal information from any third party once it has been disclosed or transferred to them. Also, please note that we will maintain all usage data and personal information in our database whenever we are required to do so by law. You will not be able to delete the content you post in messages or community discussions.

Frendex is or may become a global Service. Your personal information and other content may be collected, stored, processed, used and transferred by one or more Frendex- affiliated companies or non-affiliated service providers in one or more countries outside your originating country.

Welcome to Frendex.com, a website operated by Frendex, LLC (“Frendex”). By using or visiting the Frendex website or any Frendex products, software, data feeds, and services provided to you on, from, or through the Frendex website (collectively, the “Service”) you signify your agreement to (1) these terms and conditions (the “Terms of Service”), and (2) Frendex’s privacy notice, found at www.frendex.com and incorporated herein by reference. Frendex has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party services. In addition, Frendex will not and cannot censor or edit the content of any third-party site. By using the Service, you expressly relieve Frendex from any and all liability arising from your use of any third-party website.
Use License – Permissions and Restrictions
Subject to your compliance with these Terms of Service, if you are a member of the Service, you are hereby granted a non-exclusive, non-transferable, non-sublicensable right and license to access the Service. The Service and content posted thereon may be used only for your internal business (or personal, as the case may be) purposes, and no part of the Service may be copied, reproduced, or redistributed by you. Frendex hereby grants you permission to access and use the Service as set forth in these Terms of Service, provided that you will not:

“stalk” or otherwise harass any person;
express or imply that any statements you make are endorsed by Frendex without Frendex’s specific prior written consent.
distribute in any medium any part of the Service or the Content without Frendex’s prior written consent;
alter, modify or copy any part of the Service or Content;
use the Service or Content for any commercial purpose, or for any public display (commercial or non-commercial);
post, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights.
remove any copyright or other proprietary notations from the Service or Content;

You agree not to circumvent, disable or otherwise interfere with security-related features of the Service or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Service or the Content therein.
You understand that when using the Service, you will be exposed to Content from a variety of sources, and that Frendex is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such Content. You further understand and acknowledge that you may be exposed to Content that is inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Frendex with respect thereto, and, to the extent permitted by applicable law, agree to indemnify and hold harmless Frendex, its owners, operators, affiliates, licensors, and licensees to the fullest extent allowed by law regarding all matters related to your use of the Service.
Content Posted by You on the Service
You are solely responsible for the Content that you publish or display (i.e., “post”) on the Service, or transmit to other Members. You will not post, or transmit to other Members, any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity). You will not provide inaccurate, misleading or false information to Frendex or to any other Member. If information provided to Frendex, or another Member, subsequently becomes inaccurate, misleading or false, you will promptly notify Frendex of such change.
You understand and agree that Frendex may review and delete any user content, including, without limitation, messages, emails, photos or profiles, in each case in whole or in part, that in the sole judgment of Frendex violate this Agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of Members, as determined by Frendex in its sole and absolute discretion.
By posting Content to any public area of the Service, you automatically grant, and you represent and warrant that you have the right to grant, to Frendex, its affiliates, licensees and successors, an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, reproduce, adapt, modify and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of the foregoing. You further represent and warrant that public posting and use of your content by Frendex will not infringe or violate the rights of any third party.
You may not transmit any chain letters or junk email to other Members. Although Frendex cannot monitor the conduct of its Members off the Service, it is also a violation of these rules to use any information obtained from the Service in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent.
You have the right to terminate your Account at any time upon written notice to us. You agree that this right of termination is your sole right and remedy with respect to any dispute, including, without limitation, (1) any dispute related to your ability to access and use the Service, (2) the amount and collection of fees and taxes or (3) any term of this Subscription Agreement or our enforcement or application of this Subscription Agreement. If fees are not collected in advance by us, we reserve the right to collect accrued fees and charges and costs incurred by us upon receipt of your notice to cancel your Account.
We may terminate your Account at any time in our sole and absolute discretion for any reason or for no reason including, without limitation, upon the occurrence of any one of the following events:
Improper use of your login ID or password.
The information provided by you during our Account registration process is found to be inaccurate or materially misleading.
Any violation of these Terms of Service.
Except in the event that we discontinue the Service, in the event an Account is terminated by you for any reason, no refund will be granted and you will have no further access to the Service or your Account.
Disclaimers; Limitation of Liability
Frendex is not responsible for any incorrect or inaccurate Content posted on the Service or in connection with the Service, whether caused by users of the Service, Members or by any of the equipment or programming associated with or utilized in the Service. Frendex is not responsible for the conduct, whether online or offline, of any user of the Service or Member of the Service. Frendex assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, user or Member communications. Frendex is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any service or combination thereof, including injury or damage to users and/or Members or to any other person's computer related to or resulting from participating or downloading materials in connection with the Web and/or in connection with the Service. Under no circumstances will Frendex or any of its affiliates or advertisers be responsible for any loss or damage, including personal injury or death, resulting from anyone’s use of the Service or any Content posted on the Service or transmitted to Members. The Service is provided “AS-IS” and Frendex expressly disclaims any warranty of fitness for a particular purpose or non-infringement.
In addition to the preceding paragraph and other provisions of these Terms of Service, any advice that may be posted on the Service is for informational and entertainment purposes only and is not intended to replace or substitute for any professional training or advice.
Disclaimers Regarding Your Interaction with Members
YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER MEMBERS. YOU UNDERSTAND THAT FRENDEX CURRENTLY DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON ITS MEMBERS. FRENDEX ALSO DOES NOT INQUIRE INTO THE BACKGROUNDS OF ALL OF ITS MEMBERS OR ATTEMPT TO VERIFY THE STATEMENTS OF ITS MEMBERS. FRENDEX MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF MEMBERS.
FRENDEX RESERVES THE RIGHT TO CONDUCT ANY CRIMINAL BACKGROUND CHECK OR OTHER SCREENINGS (SUCH AS SEX OFFENDER REGISTER SEARCHES), AT ANY TIME AND USING AVAILABLE PUBLIC RECORDS.
Limitation OF Liability
in no event will Frendex be liable to you or any third person for any indirect, consequential, exemplary, incidental, special or punitive damages, including lost profits, arising OUT OF OR RELATING TO: (A) your use of the Service; or (B) THE CONDUCT OF YOU OR ANYONE ELSE IN CONNECTION WITH THE USE OF THE SERVICE, INCLUDING WITHOUT LIMITATION, BODILY INJURY, EMOTIONAL DISTRESS, AND/OR ANY OTHER DAMAGES RESULTING FROM COMMUNICATIONS OR MEETINGS WITH OTHER USERS OF THE SERVICE OR PERSONS YOU MEET THROUGH THE SERVICE, even if Frendex has been advised of the possibility of such damages. YOU AGREE TO TAKE REASONABLE PRECAUTIONS IN ALL INTERACTIONS WITH OTHER MEMBERS OF THE SERVICE, PARTICULARLY IF YOU DECIDE TO MEET OFFLINE OR IN PERSON.
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Frendex, its members, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of the and access to the Service; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive these Terms of Service and your use of the Service.

No Third Party Beneficiaries
These Terms of Service are not intended to, and shall not, confer upon any person or entity other than the parties hereto any rights or remedies hereunder, it being expressly understood and agreed that enforcement of these Terms of Service and all rights of action relating to such enforcement are strictly reserved to the parties hereto.
These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you. Notwithstanding the foregoing, Frendex may assign these Terms of Service without restriction.
These Terms of Service shall be governed by the laws of the State of Connecticut, without respect to its conflict of laws principles. Any claim or dispute between you and Frendex that arises in whole or in part from use of the Service shall be decided exclusively by a court of competent jurisdiction located in Fairfield County, Connecticut. These Terms of Service, together with the Privacy Notice at www.frendex.com and any other legal notices published by Frendex on the Service, shall constitute the entire agreement between you and Frendex concerning the Service. If any provision of these Terms of Service is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Service, which shall remain in full force and effect. No waiver of any term of these Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and Frendex’s failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision. Frendex reserves the right to amend these Terms and of Service at any time and without notice, and it is your responsibility to review these Terms of Service for any changes. Your use of the Service following any amendment of these Terms of Service will signify your assent to and acceptance of its revised terms.
